Supplier Terms & Conditions

This document describes Gleco Plating, Inc.’s (“Gleco”) requirements for purchased products and services that affect the quality, conformity, security, or timeliness of Gleco’s product. It is incorporated into every Gleco purchase order by reference. “Supplier” means any external provider of product, material, chemistry, equipment, calibration, or process services to Gleco. Order, Product, and Service Requirements

  • The Gleco Purchase Order (PO) names and/or describes the processes, products, and services Gleco desires to be provided.
  • The Gleco PO for chemicals, metals for plating, calibration services, measuring devices, plating equipment and tanks, annealing service, or blast services requires that Supplier give evidence of approved and accepted (a) products and/or services, (b) methods, processes, and production equipment, and (c) release of product and services to Gleco — with or by an attached or accompanying signed certification (for example, a Material Test Report (MTR), a Certificate of Conformance to specifications (C of C), a Certificate of Accuracy (C of A), or a Certificate of Analysis (C of A)).
  • The Gleco PO for services will, when applicable, specify the level of competence, qualification, or certified training required for the purchased service, including any required qualification of service personnel.
  • Gleco controls and monitors receipt of Supplier’s product and/or service by inspecting it and verifying timely, accurate delivery against the PO. Gleco will communicate with Supplier when performance is not acceptable.
  • Order fulfillment against process specifications shall be performed to the latest revision. Revision levels shall be listed on the certificate of conformance.
  • Inspection is to be performed and certified (approved and released) prior to release (shipment) of product or service.

Calibration and Test Standards

  • Test methods used for calibration services shall meet national standards (NIST). Calibration suppliers shall include the test method, the name of the device used for the test/calibration, the as-found condition of the submitted device, the supplier’s NIST-traceable number(s), the final adjusted status, the level of accuracy of calibration (certainty), planned frequency (next due date), and acceptance criteria on the certificate of conformance returned with submitted devices.

Nonconformance, Change, and Access

  • If nonconforming product occurs as a result of Supplier’s services, Supplier shall notify Gleco promptly so that applicable arrangements can be made for the nonconforming product.
  • If Supplier makes any change to its product or processes that would affect product purchased by Gleco, Gleco shall be notified prior to the change. Supplier shall also notify Gleco of any change to Supplier’s management, ownership, or facility.
  • Gleco, Gleco’s customer, and/or regulatory or certifying authorities shall have the right of entry to Supplier’s facility, at any level of the supply chain involved in the order, and to all applicable records.
  • Subcontract work shall not be allowed unless prior approval is first obtained from Gleco. Where Supplier subcontracts any part of Gleco’s order, all requirements of this QT&C, including any key characteristics, shall be flowed down to the subcontractor.
  • Suppliers shall retain production-related records for a minimum of seven (7) years.

Counterfeit Parts and Foreign Object Debris

  • Suppliers shall maintain an internal audit system and provide results if requested. The audits shall include assessing the risk of counterfeit product.
  • Suppliers shall notify Gleco promptly, in writing, upon identifying a suspect or confirmed counterfeit or fraudulent part, material, or component in product supplied to Gleco, and shall cooperate with Gleco’s and Gleco’s customers’ investigation of the matter.
  • Supplier shall have and practice a Foreign Object Debris (FOD) Awareness program.

Corrective Action

  • Where Gleco identifies a quality escape, nonconformance, or performance issue attributable to Supplier, Gleco may issue a Supplier Corrective Action Request (SCAR). Supplier shall provide containment action within five (5) business days and a root-cause and corrective-action response within thirty (30) days of the SCAR, unless a different timeline is agreed in writing. Repeated or unresolved SCARs may result in requalification review or removal from Gleco’s approved supplier list.

Export Control and Confidential Information

  • Gleco is registered with the U.S. Department of State, Directorate of Defense Trade Controls, under the International Traffic in Arms Regulations (ITAR), and is subject to the Export Administration Regulations (EAR) and applicable DFARS requirements. Where a Gleco PO, drawing, specification, or technical data furnished to Supplier is identified as ITAR-controlled, EAR-controlled, or export-controlled, Supplier shall handle, store, and transmit that item and information in compliance with all applicable U.S. export control laws, shall not disclose or re-export it to any foreign person or foreign destination without the export authorization required by law, and shall promptly notify Gleco of any actual or suspected unauthorized disclosure.
  • Drawings, specifications, technical data, and other information Gleco furnishes to Supplier are Gleco’s confidential and proprietary information. Supplier shall use them only to perform the applicable Gleco order, shall not disclose them to any third party without Gleco’s prior written consent, and shall return or destroy them on Gleco’s request. This obligation survives completion of the order.

Regulatory Compliance and Restricted Substances

  • Where Supplier provides chemistry, coatings, or materials, Supplier shall furnish current Safety Data Sheets (SDS) and shall notify Gleco of any change in hazard classification or formulation.
  • Where a Gleco PO identifies a restricted-substance requirement (including RoHS, REACH, or a customer-specific restriction), Supplier shall furnish material composition information sufficient for Gleco to confirm compliance.
  • Where applicable to the item supplied, Supplier shall provide DFARS specialty metals country-of-melt/pour information and reasonable country-of-origin information to support Gleco’s conflict-minerals due diligence, on request.

Ethics

  • Suppliers shall ensure that their employees are aware of their contribution to product or service conformity, their contribution to product safety, and the importance of ethical behavior.
  • Suppliers shall not offer, give, or promise anything of value to any Gleco employee, or to any government official in connection with Gleco’s business, for the purpose of improperly influencing a business decision. Suppliers shall comply with applicable anti-bribery and anti-corruption laws in performing Gleco orders.

General

  • Suppliers shall notify Gleco of any change to product packaging, preservation, or shipping method that could affect the condition of product on receipt.
  • This QT&C is governed by the laws of the State of Texas. Any dispute arising out of or relating to a Gleco purchase order is subject to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas.
  • Gleco may revise this QT&C from time to time. The revision in effect on the date of Gleco’s purchase order governs that order. The current revision is published at glecoplating.com.
